Terms of Service

1. Acceptance of Terms
By registering for and using Vendora WiFi ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all operators — registered users who deploy Vendora-compatible hardware (whether ESP-based units paired with a MikroTik router, or standalone Vendora SBC units).
2. The Service
Vendora is a cloud management platform for coin-operated WiFi vending hardware. The Service provides device registration, license management, remote monitoring via periodic device check-ins, sales reporting, and fleet analytics. Vendora does not provide internet connectivity itself — operators are responsible for their own ISP connections and, where applicable, MikroTik router configuration. The Service is provided on an "as-is" basis without warranties of any kind beyond those required by Philippine law.
3. Account Registration and Verification
You must provide accurate and complete information when registering. Operator accounts are subject to manual verification by Vendora administrators before full access is granted. Vendora reserves the right to decline or revoke operator status at its discretion. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must be at least 18 years of age to register.
4. Device Licenses and Credits
Each hardware device (identified by its unique VND-ID) requires an active license to operate normally and to appear in your fleet dashboard. Licenses are purchased using platform credits.
Credit types. Vendora offers separate credit types for each product line. ESP credits (currently ₱500 each) activate ESP-based devices; SBC credits (currently ₱700 each) activate Vendora SBC units. Credits of one type cannot be used to license devices of another type. Pricing may change with 30 days' advance notice to registered operators.
Refund policy. Unspent credits in your account may be refunded at our discretion by contacting support. Credits that have been spent to activate a license are generally non-refundable, except where: (a) the device hardware was defective at time of activation and replacement is not possible, or (b) we issue a goodwill refund at our discretion. Refund requests must be made in writing to vendorawifi@gmail.com.
License transfers and reactivation. If your hardware fails or needs replacing, Vendora administrators can transfer your license to a replacement device of the same product family (ESP-to-ESP or SBC-to-SBC) at no additional cost. If the original device subsequently becomes usable again, you may reactivate it by spending another credit; the original license remains assigned to the replacement device.
5. Operator Responsibilities
You are solely responsible for:
- the legal operation of your coin-operated WiFi vending units under applicable Philippine laws, NTC regulations, and local ordinances;
- the proper configuration and security of any networking equipment you use with Vendora hardware, including (where applicable) your MikroTik router;
- the safety, installation, and maintenance of your physical hardware;
- any agreements, disputes, refunds, or complaints involving your end-customers (the WiFi hotspot users);
- keeping your account credentials confidential and reporting any suspected unauthorized access promptly.
Vendora provides a management platform only and bears no responsibility for your downstream business operations or relationships with end-customers.
6. Distributor Program
Operators who reach a configured lifetime threshold of admin-granted credits are automatically eligible to act as Distributors. Distributors may transfer credits from their own balance to other verified operator accounts. Distributor status is granted at Vendora's discretion and may be revoked for abuse. Transferred credits are subject to the same terms as directly purchased credits, including the credit-type restrictions in Section 4.
7. Sales Data and Reporting
The Service reports sales totals and per-transaction details based on data sent by your devices. We make reasonable efforts to ensure this data is accurate and tamper-resistant, but the reports provided are intended for operational visibility and not as certified financial or accounting records. You are responsible for maintaining your own records as required by Philippine tax and accounting law.
8. Intellectual Property
The Vendora platform, firmware, software, source code, branding, and documentation are the exclusive property of Vendora. Operators receive a non-exclusive, non-transferable license to use the firmware and platform solely in connection with the operation of properly licensed devices. You may not copy, reverse-engineer, redistribute, or create derivative works of the firmware or platform without prior written permission from Vendora.
9. Prohibited Uses
You may not use Vendora to:
- violate any applicable law, regulation, or local ordinance;
- attempt to circumvent license validation, device authentication, or any other security mechanism;
- tamper with, decompile, or reverse-engineer any Vendora firmware or service component;
- interfere with or disrupt the Service or its infrastructure (including excessive automated requests outside the documented API);
- resell, sub-license, or grant access to the Service to a third party without our written permission;
- submit fraudulent payment proofs or false information to obtain credits.
10. Service Availability
Vendora aims for high availability but does not guarantee uninterrupted service. Scheduled maintenance windows will be announced in advance where possible. Device check-in data may be delayed or unavailable during outages. Your devices are designed to continue operating for a limited period without server contact, but extended outages may temporarily affect dashboard reporting. Vendora is not liable for any business losses resulting from service unavailability.
11. Limitation of Liability
To the maximum extent permitted by Philippine law, Vendora's total liability for any claim arising from the use of the Service is limited to the total amount you paid for platform credits in the three months preceding the claim. Vendora is not liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost data, or business interruption.
12. Termination
You may close your account at any time by contacting us. Vendora may suspend or terminate your account for violations of these terms, fraudulent activity, or extended inactivity. Upon termination, your devices will no longer appear in your dashboard, and your check-in and account data is retained for 90 days before permanent deletion (subject to any longer retention period required by Philippine law). Unspent credits at the time of termination are forfeited unless a refund is requested in advance.
13. Governing Law
These Terms of Service are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-laws principles. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Davao Region, Philippines.
14. Changes to These Terms
We may modify these terms at any time. Material changes will be communicated to registered operators via email at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised terms. The "Last updated" date at the top of this page indicates when the current version took effect.
